Section 7: HR, finance-accounting, legal-compliance, procurement and operations
Scenario 66: Initial contract screening against the playbook
Level: Advanced · Tools: ChatGPT file upload; the organisation’s approved workspace and legal playbook [79] [80].
Who and in what situation
Ece is legal counsel for an automotive supplier in Kocaeli. She compares service and maintenance contracts against preferred positions on liability, termination, payment, confidentiality and governing law.
How it is done today
Ece opens the two documents in separate windows and manually matches clause numbers. A change missed during the initial screening may surface at the negotiation meeting.
How to do it with AI
- She retrieves the counterparty’s contract and the current playbook from the repository approved by the legal department; she minimises unnecessary personal data.
- She attaches both documents using Add photos & files; ChatGPT supports document comparison and applying a framework to a document [79].
- She requests columns for clause, contract wording, playbook rule, deviation, page and the lawyer’s question; she prohibits silent corrections and fabricated provisions.
- Ece checks each row against the original text and creates the red-line list herself.
Example prompt
Compare the {contract} and {approved legal playbook} documents. For each rule, provide the corresponding contract provision, clause or page location, a short quotation, compliance status and a question for the lawyer to review. Do not add provisions, provide legal advice or guess missing information. Format the result as a negotiation preparation note.Evidence and real-world example
ABA Formal Opinion 512 states that generative AI can assist with contract review, due diligence and compliance work; it also states that independent verification and the lawyer’s professional judgement must be maintained [127].
Points to consider
The ABA opinion is a US professional ethics framework and does not replace legal advice in Türkiye. The opinion emphasises assessing disclosure risks before providing confidential client information to the tool and checking the output [127]. The KVKK guide advises against the uncontrolled transfer of legal proceedings and trade secrets to publicly available tools [11].
